Welcome to Habanmu, an agribusiness e-commerce ecosystem owned and operated by Walnan 4 Company Limited. By accessing or using our platform (website, app, or related services), you agree to be bound by the following Terms and Conditions (“Terms”).

Please read these Terms carefully. If you do not agree with any part, you should not access or use the Habanmu platform.


1. Definitions

  • “Habanmu” refers to the online ecosystem operated by Walnan 4 Company Limited.
  • “User” refers to any person or entity registered or using the platform (farmers, buyers, aggregators, fulfillment managers, and partner-investors).
  • “Platform” refers to the Habanmu website, mobile applications, APIs, or any other digital or physical services offered.
  • “Products” refers to agricultural produce, farm inputs, and related items listed on Habanmu.
  • “Services” include listing, purchasing, fulfillment, logistics, escrow, credit scoring, and dispute resolution.

2. User Eligibility

To use Habanmu:

  • You must be at least 18 years old.
  • You must provide accurate and verifiable information.
  • Businesses must be duly registered and authorized to operate in their respective jurisdiction.

3. Account Registration

  • Users must create an account to access core features.
  • You agree to provide truthful, accurate, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • Habanmu may suspend or terminate accounts that provide false information or misuse the platform.

4. User Roles and Responsibilities

a. Farmers

  • List only authentic, available agricultural produce.
  • Adhere to agreed quality standards and delivery timelines.
  • Engage transparently with buyers and aggregators.

b. Buyers

  • Place genuine orders and fulfill payment obligations.
  • Provide delivery instructions clearly and promptly.
  • Use the platform to raise quality or delivery concerns.

c. Aggregators

  • Coordinate bulk orders and logistics with professionalism.
  • Ensure traceability and quality control.
  • Avoid conflicts of interest with other stakeholders.

d. Fulfillment Managers

  • Handle packaging, storage, and transportation with care.
  • Maintain timelines and integrity of orders.
  • Follow Habanmu’s standard operating procedures.

e. Partner-Investors (“Som Bi”)

  • Participate through verified investment structures.
  • Accept associated risks and terms outlined in investment agreements.
  • Monitor returns via the Habanmu investor dashboard.

5. Product Listings and Fulfillment

  • Listings must be truthful, accurately priced, and regularly updated.
  • Habanmu may review and remove misleading or expired listings.
  • Order fulfillment is coordinated between farmers, aggregators, and fulfillment managers under our supervision.

6. Fees and Payments

  • Habanmu charges transaction-based commissions and service fees.
  • Escrow is used to protect buyers and sellers until delivery is confirmed.
  • Users must ensure timely payment. Late or failed payments may attract penalties.

7. Delivery and Logistics

  • Delivery timelines are estimated but not guaranteed.
  • Users should report delivery issues within 48 hours.
  • Habanmu reserves the right to mediate or assign resolution where needed.

8. Dispute Resolution

  • Disputes must first be reported through the in-platform resolution system.
  • Habanmu may mediate and propose binding decisions.
  • Unresolved cases may be escalated to a legal or third-party arbitrator.

9. Platform Conduct

You agree NOT to:

  • Post misleading, harmful, or fraudulent content.
  • Use the platform for illegal activities.
  • Interfere with or disrupt the services.
  • Impersonate another person or entity.

Violations may result in account suspension or permanent ban.


10. Intellectual Property

  • All platform content (logo, text, graphics, software) is the property of Walnan 4 Company Limited.
  • Users may not copy, distribute, or reverse-engineer any part of the platform without permission.

11. Privacy Policy

Your data is protected and used in line with our [Privacy Policy].
We do not sell your personal information.
By using Habanmu, you consent to our data handling practices.


12. Limitation of Liability

Habanmu and its affiliates are not liable for:

  • Losses due to user error or misuse.
  • Delays or failures outside our control (e.g., weather, strikes, internet outages).
  • Indirect or incidental damages.

Our liability is limited to the total fees you paid within the last 3 months.


13. Termination

We may suspend or terminate your account if you:

  • Violate these Terms.
  • Engage in fraudulent or harmful behavior.
  • Misuse the escrow or dispute resolution system.

You may also close your account by notifying us in writing.


14. Modifications

We may update these Terms at any time. We will notify you through the platform.
Continued use of Habanmu after updates means you accept the revised Terms.


15. Governing Law

These Terms are governed by the laws of the Republic of Ghana.
Any legal disputes shall be resolved under Ghanaian jurisdiction unless otherwise agreed.
